Terms of Use

These Terms of Use (“Terms”) govern your access to and use of Co-Founders Club (the "Company", “we”, "CFC") services and websites (the “Services”, the “Site”, the “Website”, “www.co-founders.club”) and to any information and materials they contain (“Content”). By accessing or using the Services you agree to be bound by these Terms, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from accessing or using the Services.

The Services are provided by Co-Founders Club Ltd, 85 Great Portland Street, First Floor, W1W 7LT, London, UK; Company Number: 10759848. This agreement is made between you and Co-Founders Club Ltd.

1. The Services

Co-Founders Club help individuals to find co-founders while working together on learning assignments in order to take the first steps towards building a startup. Company provides Services via Internet, which include:
  • user profiles containing user's knowledge, skills and experience,
  • user calendar (“Calendar”) and e-mail notifications,
  • co-founders matching process (“matching process”),
  • collaborative learning process (“learning assignments”, “Task”),
  • crowdsourcing Content process (“Task”).

To minimize the risk of an absence of a learning partner we introduced Tokens and Trust Scores. In order to become matched with a learning partner each participant has to put a Token on a Task. Then Site algorithm match learning duos who share at least one the same time slot in their Calendars. Once the match is established selected time slots, together with assigned Tokens, change their status to "reserved" and both parties are notified about the scheduled video call via e-mail. Participants have to start a video call in the first 5 minutes of scheduled assignment. After completion of the Task all Tokens are released and become available for next assignments.

If a participant fails to join the video call in the first 5 minutes of the assignment he or she loses Tokens and Trust Points (Trust Points are used to calculate Trust Score). Tokens and Trust Score create real-world consequences of missing an appointment:
  • canceling a call results in the loss of Tokens and Trust Points (small points penalty),
  • canceling more than one call a month results in the loss of additional Trust Points (medium points penalty),
  • not showing up at a scheduled session additionally increases number of Tokens required to be matched with another learning partner (big points penalty).

The Services provided by Company may continue to evolve and the form and nature of the Services may change from time to time without prior notice. Also, we may stop providing the Services in their entirety or any features within (permanently or temporarily) and may not be able to provide prior notice. We also retain the right to create limits on use at our sole discretion at any time without prior notice to you.

2. Use of Services

2.1. Registration

You may use the Services only if you are ages 18 and over, can form a binding contract with Company, and agree to these Terms. You will not create an account for anyone other than yourself. You will undertake to follow Honor Codde.

Honor Code

  1. I will provide true information about my education, skills, work experience and personal data.
  2. I will not make any task solutions available to anyone else except the person I am working with nor engage in any other activities that will dishonestly improve or hurt the results of others.
  3. I will treat other applicants and club members - regardless of their race, religion, national origin, ethnicity, disability, sex, gender identity, sexual orientation, or age - with respect and without judgement or bias.

2.2. Payments

Company provides co-founders matching process for users after they buy Tokens. Users put Tokens on collaborative learning tasks, and when required minimum number of Tokens is met Site starts matching process. Matching process is provided “AS IS” with no warranties of any kind. You understand and agree that the payment for Services grants you a limited license to use the Services as specified on the site. All fees are in Great Britain Pounds (GBP) unless expressly stated otherwise. These services can be paid for using PayPal. You agree to PayPal storing your credit card information and other payment details as necessary to charge for the Services. All fees and charges are nonrefundable. Company reserves the right to terminate services to any user who violates the Terms.

2.3. Content

You are responsible for your use of the Services, for any Content you provide to and via the Services, and for any consequences thereof. The unauthorized posting, reproduction, copying, distribution, modification, public display or public performance of copyrighted works constitutes infringement of the copyright owner’s rights.

You warrant that you had and continue to have all necessary rights, licenses, permission and consent to provide your Content to our site(s). You warrant that none of your Content contains any confidential information, and that all of your Content is non-confidential and publicly available. You warrant that Content is and will be true and accurate. You warrant that your Content complies with applicable law in the UK and/or in any country from which you provide your Content.

As a condition of your use of the Services, you agree not to use any of our sites to infringe the intellectual property rights of others in any way. You should only provide Content that you are legally permitted and comfortable sharing with others under these Terms. We reserve the right to cancel any account at any time or remove any Content if we believe you are not in compliance with any or all of the Terms.

You grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide licence and right to use the Content on our site(s) and use, copy, publish, display, distribute, amend, create derivative works and disclose to third parties your Content as described in these terms. Our license to your Content never ends.

Co-Founders Club retain all right, title and interest in and to the Service, the Site and all information, content, software and materials provided by or on behalf of Co-Founders Club. Except for the use of publicly available forms and information which you obtain from sources other than Co-Founders Club, you agree that you will not copy, reproduce, distribute or create derivative works from any information, content, software or materials provided by Co-Founders Club, or remove any copyright or other proprietary rights notices contained in any such information, content, software or materials without the copyright owner's prior written consent.

If you believe that your copyrighted work or trademark has been uploaded, posted or copied to Co-Founders Club and is accessible on www.co-founders.club in a way that constitutes copyright or trademark infringement, please provide properly constituted notice to club@co-founders.club, including the exact location of the infringing content, your basis for claiming ownership, your full contact information and a screenshot of the reported infringement. Any such communication we receive shall not be confidential or privileged in any way.

3. Privacy Policy

3.1. Personal information

Your profile is kept anonymous in the sense that by default we do not disclose any personal information about you, like your first name, last name or email address to other users of the Site. There is no catalogue of profiles that can be browsed by people you haven’t met before. Your personal data are shown only to the users you have been matched with. After meeting other users you will be able to see their personal information in your contact list.

Co-Founders Club does not license or sell your personal information to third parties. We may disclose your personal information as required by law or if Company has a reason to believe that the disclosure of your personal information is reasonably necessary to protect the rights, property, or safety of you, Co-Founders Club, or other third party.

3.2. Payments information

Co-Founders Club doesn’t store neither your credit card number nor your bank account details. All payment transactions are provided by PayPal therefore, PayPal’s Privacy Policy is in force here.

3.3. Statistical information

Co-Founders Club may collect information or track data on your use of the Services. This statistical information and data is used to improve the Services and may be collected through the use of Cookies, analytics services such as Google Analytics, Facebook, or others. We use these information, to better understand our users and to optimize the user experience.

3.4. Data security

Your account is protected by the password you provide during registration process and it is encrypted while stored in our database. Just as with most Internet services, the security of your information depends on this password, and how well you safeguard access to your account from others.

Should you have accidentally disclosed your password to someone, or otherwise come to suspect someone might be accessing your account, you can easily change your password by choosing a new one in your profile administration page.

While we would certainly like to be able to, we cannot guarantee the security of user information at all times. Unforeseen circumstances such as hardware or software failures and other factors may compromise the security of it at any time.

3.5. Business transfers

Company may choose to acquire other companies or may in turn be acquired itself by another company. In such cases, business assets, typically including user information, are transferred to another company. If Company, or substantially all of its assets, were acquired, user information would be one of the assets that is transferred or acquired by another party. You acknowledge that such transfers may happen, and that any acquirer of Company may continue to use your personal information as protected by this policy

This Privacy Policy (entire section 3.) does not apply to individuals, entities, or other third parties that Co-Founders Club does not control, employ, manage, or own.

4. Legal Terms

Your use of the Services is at the sole discretion of Co-Founders Club. We may deny you further use of the Services at any time, for any reason, with or without cause, including, without limitation, for your violation of these Terms, failure to provide accurate registration data, misuse of the service, or any other reason. Your use of the Services must always comply with applicable law. You agree not to use the Services to impersonate any person or entity, falsely state or otherwise misrepresent your affiliation with any person or entity, post unlawful, harmful or obscene content, post content that infringes trademarks or copyrights, post spam, viruses or otherwise malicious content, or crawl the Service. Scraping the Service without the prior consent of Company is expressly prohibited.

Unauthorized uses of the Services include without limitation, harassing other users, collecting email addresses, or other personal information of members for any commercial purpose, including without limitation sending of unsolicited communications about any goods or services, selling or trying to sell commercial services to “help” other users with their startup ideas. You may not use the Service to advertise or market goods, services, or to circulate petitions, request donations, offer club memberships, distribute chain letters or otherwise solicit other users.

You are not authorized to present the Service, or any part of it, in an embedded format such as in a "frame" on any other site, unless explicitly authorized to do so in writing by the Company.

You may not attempt to copy, decode, reverse-engineer, decompile or disassemble the software used by the Company to provide the Service. You may not copy, clone, or otherwise reproduce the Service, either in part or in whole, nor any of its Contents. You may not interfere with, or disrupt, or attempt to do so, the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, mail-bombing the Services, or by scripting the creation of Content in such a manner as to interfere with or create an undue burden on the Services.

“Co-Founders Club” is a trade name owned by the Company. All right, title, and interest in and to the Services are and will remain the exclusive property of Company and its licensors. The Services are protected by copyright, trademark, and other laws of the UK and foreign countries. Nothing in the Terms gives you a right to use the Company name or any of the Company trademarks, domain names, and other distinctive brand features. You agree not to display or use these trademarks in any manner without our prior written permission.

Your access to and use of the Services or any Content is at your sole risk. This web site and Service, information and materials thereon are provided to you on an "as is" and “as available” basis. Without limiting the foregoing, Company makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

Further, Company does not warrant or make any representations concerning the accuracy, availability, timeliness, security, likely results, or reliability of the Services or any content provided thereon. Company will not be responsible or liable for any harm to your computer system, loss of data, or other harm that results from your access to or use of the Services. Company makes no warranty that the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. No advice or information, whether oral or written, obtained from Company or through the Services, will create any warranty not expressly made herein.

You expressly understand and agree that, to the maximum extent permitted by applicable law, company and its subsidiaries, affiliates, officers, employees, agents, partners and licensors will not be liable for any direct, indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, good-will, or other intangible losses, resulting from your access to or use of or inability to access or use the services; any conduct or content of any third party on the services, including without limitation, any defamatory, offensive or illegal conduct of other users or third parties; any content obtained from the services; and unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not company has been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose. You acknowledge that this limitation of liability is an essential term between you and Company relating to the provision of the Services to you and Company would not provide the Services to you without this limitation.

By accepting these Terms, you agree to indemnify and otherwise hold harmless the Company, its officers, directors, employees, contractors, agents, subsidiaries, affiliates and other partners from any direct, indirect, incidental, special, consequential or exemplary damages, costs, expenses, and claims resulting from your use of the Service, materials contained in it, and any sites linked to it; unauthorized access to or alteration of your communications with or through the Service, any other matter relating to Service, or your breach of any representation, warranty or material provision of these Terms. Any transactions including but not limited to starting work together on projects, startups, companies, or otherwise, which may arise between users from their use of the Service are the sole responsibility of the users involved, and Company disclaims any and all responsibility for such transactions.

Company reserves the right to access, read, and disclose any information as we reasonably believe is necessary to satisfy any applicable law, regulation, legal process or governmental request; enforce the Terms, including investigation of potential violations hereof; detect, prevent, or otherwise address fraud, security or technical issues; respond to user support requests, or protect the rights, property or safety of Company, its users and the public.

The Services contain links to and mentions of third-party websites. These linked websites are not under the control of Company and we are not responsible for your use of third-party services. Links to or mentions of such websites do not imply any endorsement by Company of such websites or services provided thereon. You acknowledge and agree that Company is not responsible nor liable for the availability or accuracy of such websites or the services provided thereon. You should review the terms and the privacy policy of the corresponding third-party provider(s) before you use their services. You acknowledge sole responsibility for and assume all risk arising from your use of any such services.

Any feedback, comments, or suggestions you may provide regarding the improvement of the Services is entirely voluntary. We will be free to use such feedback, comments, or suggestions without any obligation to you. By submitting unsolicited ideas to Co-Founders Club you automatically forfeit your right to any intellectual property rights in such ideas; and unsolicited ideas submitted to Co-Founders Club or any of its employees or representatives automatically become the property of Co-Founders Club.

The failure of Company to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. In the event that any provision of these Terms is held to be invalid or unenforceable, that provision will be deemed severable from these Terms. Any remaining provisions of these Terms will not be affected and will remain valid and in full force and effect.

These Terms and any action thereto will be governed by and construed in accordance with the laws of the UK, without regard to or application of its conflict of law provisions. All claims, legal proceedings or litigation arising in connection with the Services will be brought solely in London, UK. You hereby irrevocably and unconditionally consent to the jurisdiction of any such court and waive any objection as to inconvenient forum and jurisdiction based on your place of domicile or residence.

Company reserves the right to modify these Terms from time to time, for any reason, without notice. The most current version will always be available at www.co-founders.club/terms. It is your responsibility to check if there are any changes. By continuing to access or use the Services after those revisions become effective, you agree to be bound by the revised Terms.

The section titles of these Terms are displayed for convenience only and have no legal effect.
